Terms of Service

1. Acceptance of Terms
By accessing and using partnr.com and the Partnr platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time, and such modifications shall be effective upon posting to the Service. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
2. Description of Service
Partnr is an AI-powered affiliate marketing platform that connects businesses with affiliates to promote their products and services. The Service provides tools for managing affiliate programs, tracking conversions and commissions, creating landing pages and lead magnets, building affiliate communities, and analyzing performance metrics. The Service operates in a two-sided marketplace model with business owners and affiliates as the primary user types.
3. Account Registration and Eligibility
To use Partnr, you must create an account and register as either a Business Owner or an Affiliate. By registering, you represent and warrant that:
- You are at least 18 years old and of legal age in your jurisdiction
- You have the authority to enter into these Terms
- Your registration information is accurate, complete, and current
- You will maintain the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You comply with all applicable laws and regulations in your jurisdiction
4. User Types
Business Owners
Business Owners use Partnr to create and manage affiliate programs for their products or services. Business Owners are responsible for setting commission rates, managing affiliate relationships, and paying commissions for valid conversions. Business Owners may create custom communities, track affiliate performance, and access analytics through the platform.
Affiliates
Affiliates are individuals or entities who promote Business Owner offers in exchange for commissions. Affiliates use Partnr's tools to create landing pages, generate tracking links, access lead magnets, engage with affiliate communities, and earn commissions from qualifying sales or leads. Affiliates must adhere to all promotional guidelines and advertising standards.
5. Business Owner Obligations
As a Business Owner, you agree to:
- Provide accurate and truthful information about your offers, products, and services
- Ensure all marketing materials and promotional claims comply with applicable advertising laws and regulations
- Pay commissions to affiliates in a timely manner according to the agreed payment schedule
- Maintain accurate records of sales, leads, and commissions
- Indemnify and hold harmless Partnr from any claims arising from your offers or affiliate program
- Not engage in fraud, misrepresentation, or deceptive practices
- Comply with all FTC guidelines and advertising regulations in your jurisdiction
- Resolve disputes with affiliates in good faith
- Provide clear commission structures and payment terms to affiliates
6. Affiliate Obligations
As an Affiliate, you agree to:
- Promote offers honestly and truthfully, without misrepresentation or deception
- Comply with all FTC disclosure requirements and clearly disclose your affiliate relationship in all promotional materials
- Not engage in spam, unsolicited messaging, or aggressive marketing tactics
- Not claim a product is "endorsed" or "approved" by anyone unless explicitly authorized
- Maintain accurate records of your promotional activities and traffic sources
- Not engage in or assist with fraudulent activities, click fraud, or cookie stuffing
- Not use paid ads (Google Ads, Facebook Ads, etc.) without explicit written permission from the Business Owner
- Respect intellectual property rights and only use approved marketing assets
- Disclose your financial interest in the offer you are promoting
- Comply with all applicable laws and regulations in your jurisdiction
7. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Click Fraud: Generating, purchasing, or otherwise artificially inflating clicks or impressions
- Cookie Stuffing: Placing affiliate cookies on a user's device without their knowledge or consent
- Trademark Infringement: Using another party's trademarks, brand names, or logos without authorization
- Spam: Sending unsolicited emails, text messages, or other communications promoting offers
- Scraping: Automated collection of data from the Service without authorization
- Fraud: Making false claims, impersonating others, or engaging in deceptive practices
- Hacking: Attempting to gain unauthorized access to the Service, user accounts, or data
- Malware: Distributing malicious software or code through the Service
- Adult Content: Promoting adult content or explicit materials (unless specifically authorized)
- Illegal Content: Promoting illegal products, services, or activities
- Network Gaming: Manipulating conversion metrics or artificially inflating earnings
- Account Manipulation: Using multiple accounts to circumvent policies or increase earnings
8. Payment Terms
Commission Structure: Affiliate commissions are determined by individual Business Owners and displayed in each affiliate program's settings. Commissions are calculated based on verified sales or leads as defined by the Business Owner.
Payment Processing: All payments are processed through Stripe and are subject to Stripe's payment processing terms and conditions. Affiliates must provide valid banking information and comply with Stripe's requirements to receive payments.
Payout Schedule: Commissions are typically paid on a monthly basis within 30 days of the end of the calendar month, provided the affiliate has earned a minimum balance of $10.00. Payments may be delayed if there are disputes, chargebacks, or fraud investigations.
Minimum Payout Threshold: Affiliates must earn a minimum of $10.00 before they are eligible to receive payment. Amounts below this threshold will be carried forward to the next billing period.
Chargeback and Refund Policy: If a customer requests a refund or initiates a chargeback, the corresponding commission will be reversed. Affiliates are responsible for any fees associated with chargebacks.
Service Fees: Partnr reserves the right to charge transaction fees or service fees as disclosed in the pricing terms. Current fees are displayed on the Pricing page.
Currency: All payments are processed in USD. Affiliates are responsible for any currency conversion fees charged by their bank or payment processor.
Taxes: Affiliates are responsible for reporting income and paying applicable taxes. Partnr may issue Form 1099 to affiliates as required by law.
9. Intellectual Property
All content, graphics, logos, images, and software on Partnr are the property of Partnr or its content suppliers and are protected by international copyright laws. You retain all rights to content you create and upload to the Service (such as landing pages or promotional materials), but you grant Partnr a non-exclusive, royalty-free license to use that content for the purpose of providing the Service.
Business Owners retain all intellectual property rights to their offers, products, and promotional materials. Affiliates may only use approved marketing assets and are prohibited from creating derivative works or modifying promotional materials without explicit permission. Any use of another party's intellectual property requires proper licensing and attribution.
10. Limitation of Liability
To the fullest extent permitted by law, Partnr shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if Partnr has been advised of the possibility of such damages.
Partnr's total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you have paid to Partnr in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such cases, Partnr's liability shall be limited to the greatest extent permitted by applicable law.
11. Dispute Resolution
Informal Resolution: If you have a dispute with Partnr or another user, you agree to first contact support@partnr.com and attempt to resolve the matter in good faith.
Arbitration: If the dispute cannot be resolved informally within 30 days, you agree to submit the dispute to binding arbitration administered by a mutually agreed-upon arbitrator or, if no agreement can be reached, by JAMS (Judicial Arbitration and Mediation Services). The arbitration shall be conducted on an individual basis, and you waive your right to a jury trial.
Class Action Waiver: You agree not to pursue any dispute on a class action, consolidated, or representative basis. All arbitration shall be conducted individually.
Small Claims Court: You may pursue your dispute in small claims court if you are eligible and the dispute qualifies.
Commission Disputes: Disputes regarding commission payments must be reported within 60 days of the disputed transaction. Partnr will investigate and determine the validity of the claim based on platform records.
12. Termination
Termination by You: You may terminate your account at any time by logging into your account and selecting the option to delete your account. Upon termination, your access to the Service will be immediately revoked.
Termination by Partnr: Partnr may terminate or suspend your account immediately, without notice, if you:
- Violate these Terms or any policy published on the Service
- Engage in fraud, illegal activities, or intellectual property infringement
- Engage in abusive, threatening, or harassing behavior
- Violate payment terms or fail to pay fees
- Are subject to regulatory sanctions or government action
- Pose a risk to the platform, other users, or Partnr's reputation
Effect of Termination: Upon termination, your access to the Service will be revoked, and any pending commissions or balances may be forfeited. Paragraphs that by their nature should survive termination (such as Intellectual Property, Limitation of Liability, and Governing Law) shall survive termination.
13. Changes to Terms
Partnr may modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Service or by sending an email to the address associated with your account. Your continued use of the Service following such notification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must terminate your account.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising from these Terms or the Service, except as provided in the Dispute Resolution section above.

These Terms of Service constitute the entire agreement between you and Partnr regarding the Service and supersede all prior negotiations, representations, and agreements, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be reformed to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in effect.
